Services Provided (the “Services”) under Terms for Monthly Platinum Package

Shopper Reviews agrees to provide the Client non-exclusive access to services listed below:

Core Product:

-Reporting: Track reviews & ratings, review response, and customer sentiment.

- Website API integration, Rich Snippets (SEO): Automatically display your favorite reviews on your website with API integration.

- Mobile app: Manage online reputation and customer experience on-the-go with mobile review management and real-time reporting.

Reviews:

- Get More Reviews: Automatically get new reviews via SMS, MMS or email with customized messaging.

- Review alerts: Receive instant review alerts via email or SMS.

- Review authentication: Automatically park reviews with spam or slander.

- Custom review site: Custom review site optimized for search engines (SEO).

- Review marketing: Automatically promote your best reviews on Facebook, Google+, Twitter.

- Website integration iFrame: Automatically display the best reviews on your website in an iFrame.

- Review response on 3rd party: Respond to 3rd party reviews from one dashboard.

Reputation Monitoring:

- Monitor business reviews from 70+ sites in one dashboard. While additional Review Sites may be added in the future, we do not guarantee the ability to aggregate reviews from any particular site, as individual Review Sites may change their services, or to stop us from aggregating reviews at any time.

Fees and Payment The Client agrees to pay one-time setup fee of $199 USD and subscription of $295 USD monthly for access to the services for 1 location (plus foreign, federal, state, local, VAT, and other taxes applicable to client's access to, use, or receipt of the Services)*. Shopper Reviews charges and collects in advance for use of these services. Client will be billed at the beginning of every month as calculated from

Annual License Terms This agreement will be in force for a minimum of 12 months from . No cancellations or refunds will be permitted upon execution of this agreement and once the credit card is successfully charged. The contract will auto renew in 12 month increments unless cancelled 30 days prior to then contract term.

Credit Card Authorization I authorize Shopper Reviews to charge the agreed amount listed above to my credit card. I agree to pay for this purchase in accordance with the issuing bank cardholder agreement.

Authorization All agreements are transferable and fully enforceable in the event of a transfer of ownership (sale, acquisition, merger, etc.) by either Shopper Reviews or Client. By e-signing below, you are indicating that you have expressly accept the terms and conditions in this legal Agreement.

For customers located in certain states, Shopper Reviews may be required to charge sales tax on your order pursuant to state and local sales tax laws. Any applicable sales tax charges will appear separately on your final invoice. For customers located in other states, your state and/or local government may require you to report your purchase and pay appropriate sales and/or use tax amounts to them directly.
